These Terms of Service ("Terms") govern your access to and use of Brandsona, operated by EBOSS Group ("we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
Brandsona is a brand management and social media content planning platform available at app.brandsona.com. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.
You must create an account to use most features of Brandsona. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate information when creating your account and keep it updated. You may not share your account with others or create accounts on behalf of third parties without their authorization.
We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or remain inactive for extended periods.
You may use Brandsona only for lawful business purposes. You agree not to:
Brandsona offers free and paid subscription plans. Paid plans are billed monthly or annually as selected at the time of purchase. All fees are in US dollars and are non-refundable except as required by law or as described in these Terms.
You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period — you will retain access to paid features until that date. We do not provide refunds for partial billing periods.
We reserve the right to change pricing with at least 30 days' notice. Continued use of the Service after a price change takes effect constitutes your acceptance of the new pricing.
Payment processing is handled by Stripe. By providing payment information, you agree to Stripe's terms of service. We do not store your full payment card details.
AI features in Brandsona consume credits. Credits are allocated monthly on paid plans and do not roll over to the next billing period. Additional credits may be purchased at the rates listed on the pricing page. Credits have no cash value and are not transferable.
AI features are provided as-is. We do not guarantee that AI-generated content will be accurate, complete, original, or suitable for any particular purpose. You are responsible for reviewing all AI-generated content before publishing or distributing it.
Agency plans allow you to manage multiple client organizations within Brandsona. As an agency administrator, you are responsible for ensuring that your clients' use of the Service complies with these Terms. You are responsible for obtaining any necessary permissions from your clients to process their brand data through the Service.
You retain ownership of all content you create, upload, or generate through Brandsona, including AI-generated content created using your brand data and prompts. By using the Service, you grant EBOSS Group a limited license to store, process, and display your content solely as necessary to provide the Service.
You represent and warrant that you have all rights necessary to upload and use your content through the Service, and that your content does not violate any third-party rights or applicable laws.
EBOSS Group retains all rights to the Brandsona platform, The Branding Puzzle™ framework, and all related software, designs, and intellectual property. These Terms do not grant you any rights to use EBOSS Group's trademarks, logos, or branding without our prior written consent.
The Branding Puzzle™ is a proprietary framework developed by Chris Vaughan and owned by EBOSS Group. Your use of the guided Branding Puzzle feature within Brandsona does not grant you any license to the underlying framework outside of the Service.
Your use of the Service is also governed by our Privacy Policy, available at brandsona.com/privacy, which is incorporated into these Terms by reference.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EBOSS GROUP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
EBOSS GROUP'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100.
You agree to indemnify, defend, and hold harmless EBOSS Group and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your content, or your violation of these Terms.
These Terms are governed by the laws of the State of North Carolina, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, except that either party may seek injunctive relief in court for intellectual property matters. You waive any right to a jury trial or to participate in a class action lawsuit.
We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the Service at least 14 days before the changes take effect. Your continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.
EBOSS Group shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including acts of God, natural disasters, pandemic, war, terrorism, labor disputes, or internet service disruptions.
Either party may terminate this agreement at any time. We may suspend or terminate your access to the Service immediately if you violate these Terms. Upon termination, your right to use the Service ceases immediately. Sections 7 through 13 survive termination.
